End User Agreement (Terms of Service)

This End User Agreement ("Agreement") is a legal agreement between you ("User", "you") and Datalink Analytix, Inc. ("Provider", "we", "us", or "our") governing your use of the Datalink Analytix platform (the "Service").

By accessing or using the Service, you agree to be bound by this Agreement.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

2. Nature of the Service

Datalink Analytix provides a technology platform that enables users to initiate and manage cross-border payment requests.

• The Provider is not a bank, financial institution, or money transmitter.
• Funds movement and settlement are performed by third-party financial institutions, payment processors, or licensed partners.
• The Provider does not guarantee the availability, timing, or completion of transfers handled by third parties.

3. License Grant

The Provider grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful personal or business purposes, subject to this Agreement.

4. Account Registration and Security

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to notify us immediately of any unauthorized use of your account.

5. User Responsibilities

You agree that:

• All information you provide is accurate and lawful.
• You will use the Service only for legitimate purposes.
• You will not use the Service on behalf of third parties without proper authorization.

6. Prohibited Activities

You agree not to use the Service for:

• Money laundering, fraud, or financial crime
• Sanctions violations or unlawful cross-border transfers
• Unauthorized or deceptive transactions
• Any activity that violates applicable laws or regulations

The Provider reserves the right to monitor transactions and suspend or terminate accounts suspected of illegal or high-risk activity.

7. Transaction Processing and Risk

• The Service enables users to create and manage transfer requests.
• Execution of transfers is handled by third-party providers.
• Exchange rates, fees, and delivery times may vary.

The Provider:

• Does not guarantee transfer completion
• Is not responsible for delays or failures caused by third parties
• May delay or cancel transactions for security, compliance, or risk reasons

8. Fees and Pricing

• Fees and exchange rates are displayed at the time of the transaction.
• Rates may change based on market conditions or partner pricing.
• You are responsible for any applicable taxes or charges.

9. SMS and Communications

By using the Service, you agree to receive transactional communications, including:

• One-time passcodes (OTP)
• Account-related notifications

These messages:

• Are not marketing messages
• Are sent only in response to user actions
• May incur standard carrier charges

10. Fraud Prevention and Account Restrictions

The Provider may:

• Request additional identity verification
• Delay, block, or cancel transactions
• Suspend or terminate accounts

These actions may occur without prior notice if required for:

• Fraud prevention
• Regulatory compliance
• Security concerns

11. Intellectual Property

All software, content, trademarks, and materials provided by the Provider are owned by or licensed to the Provider.

You are granted only a limited right to use the Service. No ownership rights are transferred.

12. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE".

The Provider disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement

13. Limitation of Liability

To the maximum extent permitted by law:

• The Provider is not liable for indirect, incidental, or consequential damages.

• Total liability is limited to the greater of:

• Fees paid in the past 12 months, or

• $100

14. Indemnification

You agree to indemnify and hold harmless the Provider from any claims, damages, or losses arising from:

• Your misuse of the Service
• Your violation of this Agreement
• Your violation of applicable laws

15. Termination

The Provider may suspend or terminate your access at any time for:

• Violation of this Agreement
• Legal or regulatory requirements
• Security concerns

Upon termination, your right to use the Service immediately ends.

16. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from this Agreement shall be resolved in the courts located in Delaware, unless otherwise required by applicable law.

18. Changes to this Agreement

We may update this Agreement from time to time. Continued use of the Service after updates constitutes acceptance of the revised terms.
